1) Scope
1.1 These General Terms and Conditions (hereinafter "T&C") of Boldrise LLC (hereinafter "Seller") apply to all contracts for the delivery of goods concluded between a consumer or entrepreneur (hereinafter "Customer") and the Seller with regard to the goods presented in the Seller's online shop. The inclusion of the Customer's own terms is hereby rejected unless otherwise agreed.
1.2 A consumer within the meaning of these T&C is any natural person who concludes a legal transaction for purposes that are predominantly neither commercial nor self-employed professional activity.
1.3 An entrepreneur within the meaning of these T&C is a natural or legal person or a partnership with legal capacity who, when concluding a legal transaction, acts in the exercise of their commercial or self-employed professional activity.
2) Conclusion of Contract
2.1 The product descriptions in the Seller's online shop do not constitute binding offers by the Seller but serve to submit a binding offer by the Customer.
2.2 The Customer may submit the offer via the integrated online order form. By placing selected goods in the virtual shopping cart and completing the electronic ordering process, the Customer submits a legally binding contractual offer by clicking the button that completes the order process.
2.3 The Seller may accept the Customer's offer within five days:
by sending an order confirmation in writing or in text form (e.g. email),
by delivering the ordered goods, or
by requesting payment from the Customer.
The contract is concluded at the time the first of these alternatives occurs. If the Seller does not accept the offer within this period, the offer is deemed rejected.
2.4 If a payment method offered via PayPal is selected, payment processing is carried out by PayPal (Europe) S.à r.l. et Cie, S.C.A., Luxembourg, subject to PayPal's terms and conditions.
2.5 The contract text is stored by the Seller and sent to the Customer in text form after the order is placed. No further access is provided.
2.6 The Customer can identify and correct input errors before submitting the order using standard input methods.
2.7 The contract language is German.
2.8 Order processing and communication are usually conducted via email. The Customer must ensure that the provided email address is correct.
3) Right of Withdrawal
3.1 Consumers generally have a right of withdrawal.
3.2 Details are provided in the Seller's withdrawal policy.
4) Prices and Payment Terms
4.1 Prices are total prices including statutory VAT unless stated otherwise. Shipping costs are listed separately.
4.2 Available payment methods are displayed in the online shop.
4.3 Payments via PayPal are processed through PayPal or its partners. The Seller may assign claims to PayPal.
4.4 Payments via "Sofortüberweisung" are processed by Klarna Bank AB.
4.5 Payments via Shopify Payments are processed by Stripe Payments Europe Ltd.
4.6 Payments via Klarna are processed by Klarna Bank AB under their terms.
4.7 For invoice purchases, payment is due within 30 days unless otherwise agreed.
5) Delivery and Shipping Conditions
5.1 Delivery is made to the address provided by the Customer.
5.2 If delivery fails due to the Customer, the Customer bears the resulting costs.
5.3 Risk passes:
to entrepreneurs upon handover to the carrier,
to consumers upon delivery, unless arranged otherwise.
5.4 Self-collection is not possible.
6) Retention of Title
The Seller retains ownership of the goods until full payment is made.
7) Warranty (Liability for Defects)
Statutory provisions apply unless stated otherwise.
7.1 For entrepreneurs:
Seller chooses method of remedy
limitation period for new goods: 1 year
no warranty for used goods
7.2 Limitations do not apply to damages, fraud, building materials, or digital updates.
7.3 Statutory recourse rights remain unaffected.
7.4 Consumers should report transport damage; failure to do so does not affect claims.
8) Redemption of Promotional Vouchers
8.1 Promotional vouchers can only be redeemed within the specified period.
8.2 Certain products may be excluded.
8.3 Only one voucher per order.
8.4 No cash payout or interest.
8.5 Refunds do not include voucher value.
8.6 Vouchers are transferable.
9) Alternative Dispute Resolution
The Seller is neither obligated nor willing to participate in dispute resolution proceedings before a consumer arbitration board.
